We are an S-Corp. We have been using an attorney for our small business since 1996 but he is no longer available.

Of course it is legal. You just follow your charter as to the procedures to pass resolutions and to vote and keep minutes of the meeting and all resolutions passed.

You are not required to have a lawyer assist in conducting the shareholder or board meetings. You do need to at least meet the minimum state law requirements and any requirements of the corporate charter and by-laws. You may already be familiar with what needs to be done from your past meetings. If you aren't sure what you need to do, however, consult a corporate law attorney for advice on what to do. Once you know that, you can do it yourselves this year and in future years. No need for a lawyer to help conduct the actual meetings. What you pay for that legal advice is tax deductible to the corporation.
