Please assess my situation and help point me to the area of law that I can study. Three years ago I joined a new company as CFO with ownership shares contingent upon the successful raising of funds within one year. I did not take any salary, nor did I purchase any shares. The founders refused to assign the intellectual property to the company so I wasn't able to attract investors. The founders separated from me stating incompetence, failure to perform, and that I acted against their interests.

Here is my situation: I believe I still have a ownership stake in the company because they allowed me to continue working after the original letter expired. I may not have raised the funds, but the founders didn't agree to terms I presented (assignment of IP to company). They have denied my ownership claim. Do I have any grounds to further assert my ownership?

Your situation is specific and there are far too many facts we can't discuss here which might impact the success or failure of your case. We don't know what your written agreement actually states. We don't know what measures your adversaries took or didn't take that prevented you from accomplishing the goal. There may even be other evidence, including oral evidence, which may help you.
