Corporate Law international online joint venture..precatutions?

hi,
i am planning to open a website in joint venture with a person..which is not from my country and am from India..i will be in charge of the coding and maintenance and he will be the in charge of marketing of the site...i don't have slightest of idea..what documents we should get signed before starting the work..
any replies will be highly appreciated..
