My wife and I were members of an LLC. All the members resigned their posts and the LLC was dissolved in Oct. 2009. We received a notice from the court in reference to an arbitration hearing from a previous bill that was not paid. The LLC dissloved with some debt but has no money and no assets. We did not guarantee any debts as these accounts were set up before I became the managing partner in 2008. Because of the economy we struggled to stay in business until we had to close the doors in about July 2009. The notice said that an attorney had to represent the corporation but (1) the corporation is dissolved and (2) we have no money in our personal account as we have had to file for Medicaid. What avenues do we take or do we just let it take its course?

The court sent you a notice? You may want to call the clerk of the court to discover what you may have signed, included potentially some personal guarantee to pay separate from your LLC paperwork.

The court sent the summons to the company c/o me. The plaintiff ended up getting a default judgement against the company but I have not personally guaranteed anything. The LLC was officially dissolved last year.
