My jurisdiction is: TN
I am attempting to create an agreement where I am a non exclusive vendor being paid a commission percentage for time to time finding potential clients for another company ("my client").
No commission is paid if I do not locate any potential clients.
The amount that I am paid needs to be based on the contracted amount between my client and the "potential business".
Background: My client has agreed to pay me 10% of each new business lead that actually turns into an actual job. In order for them to secure the job, they have to go through a formal bid process and win the bid (like being interviewed). In the event that they win the bid I will expect to be paid 10%.
Further, I expect to be paid at the acceptance of the bid and regardless whether the contract between my client and the potential business terminate or if the potential business does not pay my client.
Lastly, I'd like to use the same contract [so as not to create a new contract for each job b/c I will always be paid 10%] with the same company (my client) for future jobs where a bid may not be necessary.
------
Here is what I have come up with so far and based off of the above background I hope that it is enough information:
The parties hereby acknowledge and agree as follows:
1. The Contractor will act as the Company's non-exclusive Contractor with respect to locating potential clients ("Client").
2. The Contractor will from time to time introduce the Company to potential clients and the Contractor's responsibilities shall be limited to introducing potential clients to the Company.
3. In consideration for the services rendered by the Contractor hereunder, the Company shall pay to the Contractor, or cause the Contractor to be paid, commission equal to $10 and ten percent (10%) of the total gross value of the contract between the Company and the Client.
4. The commission shall be paid regardless of the amount the Company actually collects from the Client.
5. The commission to the Contractor is due and payable upon signed acceptance by the Client.
6. The commission to be conveyed to the Contractor will be in the form of cashier's check or cash (U.S.).
7. Each party represents and warrants to the other party as to itself that the person executing this Agreement is authorized to do so on such party's behalf.
